Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Ben's Corner Books LLC("Stackd," "we," "us," or "our") for your use of the Stackd website, API, and the iOS app published as "Stackd: Scan, List & Ship" (together, the "Service"). By creating an account, ticking the agreement box, or using the Service, you accept these Terms and acknowledge our Privacy Policy. If you don't agree, don't use the Service.

Businesses and organizations. Stackd is a commercial tool. If you use it as a sole proprietor, you agree personally. If you use it on behalf of a company or other organization, you represent that you have authority to bind that organization, "you" includes the organization, and you remain responsible for everyone who uses the Service through your account.

You must be at least 18 years old, located in the United States, and have (or be authorized to use) an active Amazon Seller Central account in good standing. You may not use the Service if you have previously been suspended from it.

• Provide accurate information and keep it current.
• Keep your password and Amazon authorization confidential. Everything done through your account is your responsibility until you tell us it has been compromised.
• One person or organization per account; you may not share, sell, or transfer an account.
• Tell us promptly at the support address below about any unauthorized use.

Subject to these Terms and an active subscription or trial, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your own resale business. All rights not expressly granted are reserved. You may not copy, modify, reverse engineer, scrape, resell, rent, or create derivative works of the Service, remove any notices, or use it to build a competing product. Stackd, its logo, software, and content are owned by Ben's Corner Books LLC or its licensors. Data you enter remains yours; you grant us the license needed to store and process it to run the Service.

iOS app. Your use of the iOS app is also governed by Apple's Licensed Application End User License Agreement (the "Standard EULA"). If these Terms conflict with the Standard EULA regarding the iOS app, the Standard EULA controls for that conflict. Apple is not responsible for the Service or for addressing claims about it; Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS app.

Stackd speeds up work you would otherwise do by hand in Seller Central. You remain the seller of record and are solely responsible for:

• Every listing you submit — its accuracy, title match, edition, condition grading, condition notes, price, quantity, and SKU.
• Your inventory, order fulfillment, customer service, returns, and shipments, including package contents, weights, dimensions, and label placement.
• Compliance with Amazon's policies, category and product restrictions, gating, condition guidelines, and the Amazon Services Business Solutions Agreement, plus all applicable laws.
• Sales tax, income tax, and all other taxes and fees arising from your sales.
• Your business decisions — what to buy, what to list, and what to charge.
• The security of your Amazon credentials and the scope of the authorization you grant Stackd.

The Service relies on third-party data and automated analysis. Barcode and ISBN scans, optical character recognition, AI-based cover identification, restriction and gating checks, sales ranks, Buy Box and offer prices, price history, estimated fees and profit, weights, shipment quotes, and any other Amazon or Keepa data may be delayed, incomplete, or wrong. Smart pricing is a suggestion, not advice.

Review before you submit. You agree to check each item before listing or shipping it. We are not responsible for listings created with an incorrect title, edition, condition, or price, for missed restrictions, for pricing decisions, or for losses that result from relying on data shown in the Service.

The Service connects to Amazon (Selling Partner API), Apple (App Store and in-app purchases), Stripe (payments), Supabase (authentication, database, and storage), Vercel (hosting and analytics), Keepa (sales-rank and price history), Anthropic (AI identification), and Open Library (cover images). Each is governed by its own terms and privacy policy, may change or discontinue its service, and may rate-limit or reject requests. We are not responsible for their availability, accuracy, or actions.

Stackd is an independent product of Ben's Corner Books LLC. It is not affiliated with, endorsed by, or sponsored by Amazon, Apple, Stripe, Supabase, Vercel, Keepa, Anthropic, or the Internet Archive. Amazon, FBA, and Seller Central are trademarks of Amazon.com, Inc. or its affiliates; Apple and App Store are trademarks of Apple Inc.

Plans. Current plans and prices are shown at stackdlister.com/pricing and in the iOS app. Prices are in U.S. dollars and exclude any applicable taxes.

Free trial. New subscriptions include a 14-day free trial unless stated otherwise. Your subscription starts billing automatically when the trial ends unless you cancel before then. One trial per person or organization.

Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current rate for your plan until cancelled.

Founding pricing. Founding-member offers are available for a limited time to early subscribers. The founding monthly plan bills at $29.99/month for your first 12 billing cycles and then at the then-current standard monthly rate (currently $44.99/month). The founding annual plan bills at $269.99/year (regular $449.99/year) and that rate is kept for as long as the subscription remains continuously active and in good standing. If a founding subscription is cancelled, lapses for non-payment, or is refunded, the founding rate ends and any later subscription is at the regular rate then in effect.

Price changes. Apart from the founding rules above, we may change prices with at least 30 days' notice by email or in the app; changes apply from your next renewal after the notice period.

Web (Stripe) subscriptions. Payments are processed by Stripe on a hosted checkout page; we never receive your card number. You can cancel at any time from Settings → Account → Manage web billing. Cancelling stops future renewals; you keep access until the end of the period you have already paid for. Except where required by law or under the Founding Guarantee below, payments are non-refundable and there are no refunds or credits for partial periods, unused time, or downgrades. We may make exceptions at our discretion.

iOS (Apple) subscriptions. Purchases made in the iOS app are billed by Apple to your Apple Account. Apple's terms apply. Manage or cancel in your device Settings → your name → Subscriptions; cancellation takes effect at the end of the current period. Refund requests for App Store purchases must be made to Apple through reportaproblem.apple.com; we cannot issue Apple refunds. Deleting the app does not cancel an Apple subscription.

Founding Guarantee. If Stackd doesn't help you find more books and cut your processing time, email us at support@stackdlister.com within 14 days after your first payment and we will refund or credit an amount equal to your first two months of subscription fees (for an annual plan, two-twelfths of the annual fee). One claim per person or organization; applies to subscriptions billed through Stripe. For App Store subscriptions, refund requests are handled by Apple under Apple's policies, but you may still contact us and we will help where we can.

Founding benefits. Eligible founding trials include access to the private community, direct support line, and one setup call while subscription access remains active. The permanent Founding Member badge and one Inateck BCST-21 scanner unlock after the first successful, non-refunded payment. Scanner fulfillment is limited to one per eligible founding account and U.S. delivery addresses, requires address confirmation, has no cash alternative, and may be held for duplicate-address or fraud review. Comped accounts receive the badge and active member services but do not automatically receive hardware or subscription credit. Earned badges and fulfilled benefits remain yours after cancellation; ongoing member services pause when access expires.

Referral program. Referral attribution is first-touch and applies only to legitimate new Stackd customers. The first referral qualifies for one $10 Amazon gift card after the referred customer's first payment remains active and unrefunded for seven days. One free month may be earned after three distinct referrals each complete a full paid month. The referrer must have an active billable subscription when that credit is fulfilled; otherwise it remains pending. Annual-plan credits equal one-twelfth of the annual price. Apple rewards use App Store offer codes. Rewards are limited to the stated milestones, have no cash alternative, cannot be transferred, and may be denied or reversed for self-referrals, duplicate accounts, refunds, abuse, or fraud. Comped-account free-month milestones require manual review.

Duplicate subscriptions. A Stackd account needs only one subscription. If you subscribe on the web and through the App Store, you will be billed by both providers until you cancel one; we will notify you in the app when we detect this, but we cannot refund charges made by Apple.

Account deletion and billing. Deleting your Stackd account immediately ends your access and cancels any Stripe subscription. It does not cancel an Apple subscription — you must cancel that with Apple or it will continue to bill.

Failed payments. If a payment fails, the provider may retry it. Access may be paused while a subscription is past due and restored once payment succeeds.

You may not:

• Use the Service to violate any law, Amazon's policies, or anyone's rights, or to list counterfeit, stolen, recalled, or prohibited items.
• Access another person's account or data, or attempt to bypass access controls, rate limits, or subscription checks.
• Interfere with the Service's operation, probe or scan it for vulnerabilities without permission, or introduce malicious code.
• Use automated tools to extract data from the Service beyond normal use, or to place unreasonable load on it or on our providers.
• Misrepresent your identity or affiliation, or use the Service for someone who is not eligible under Section 2.

You may stop using the Service and delete your account at any time from Settings → Account. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, if your use creates legal or security risk for us or our providers, if a provider (such as Amazon) revokes our access on your behalf, or if required by law. We may also discontinue the Service or any feature with reasonable notice. On termination your license ends; Sections 5, 6, 11–16 survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DATA WILL BE ACCURATE OR CURRENT, OR THAT YOUR LISTINGS WILL BE ACCEPTED BY AMAZON OR WILL SELL. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, BEN'S CORNER BOOKS LLC AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, LOST DATA, AMAZON ACCOUNT ACTIONS, OR INVENTORY LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) US$100 OR (B) THE SUBSCRIPTION FEES YOU PAID TO STACKD IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE APPLICABLE LAW PROHIBITS THEM.

You will defend, indemnify, and hold harmless Ben's Corner Books LLC and its owners, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your listings, products, shipments, or sales; your breach of these Terms or of Amazon's or another provider's terms; your violation of law; or your use of the Service on behalf of an organization.

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules, and by applicable U.S. federal law.

Talk to us first. Before starting any legal proceeding, you agree to send a written description of the dispute to support@stackdlister.com (and we agree to do the same to you) and to negotiate in good faith for 30 days from that notice.

Courts. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you and we consent to their personal jurisdiction and venue. There is no arbitration clause in these Terms.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages or changes at Amazon, Apple, Stripe, Supabase, Vercel, Keepa, Anthropic, or internet providers; natural disasters; labor actions; or government action.

Assignment. You may not assign or transfer these Terms or your account. We may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.

Waiver and severability. Our failure to enforce a provision is not a waiver. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the rest of the Terms remain in effect.

Survival. Provisions that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution) survive.

Notices. We may notify you by email to your account address or in the app. Notices to us go to the address below.

Changes to these Terms. We may update these Terms. Each version has a version date. For material changes we will show the updated Terms in the app and ask you to agree before continuing; minor changes take effect when posted. If you don't agree to a change, stop using the Service and delete your account.

Entire agreement. These Terms, the Privacy Policy, and (for the iOS app) Apple's Standard EULA are the entire agreement between you and us about the Service and replace any prior agreements.
